Terms of Service

1. Agreement to Terms

These Terms of Service (the “Terms”) govern your access to and use of the websites, products, applications, and services (collectively, the “Services”) provided by Agentic Beings, Inc. (a Delaware corporation; registered office: 131 Continental Dr, Suite 305, Newark, DE 19713, USA) and their respective Affiliates (together the “Company,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

2. The Services

The Company builds ambient, personal, persistent intelligence — AI systems that can understand context, remember what matters, act across tools and environments, and appear through different interfaces. The Services may include websites, software, APIs, AI agents, and related offerings. We may add, modify, suspend, or discontinue any part of the Services at any time, with or without notice.

3. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization.

4. Accounts

If the Services require an account, you agree to provide accurate and complete information, keep your credentials secure, and notify us promptly of any unauthorized use. You are responsible for all activity that occurs under your account.

5. Acceptable Use

You agree not to, and not to permit others to:

• use the Services in violation of any applicable law or regulation;
• infringe, misappropriate, or violate the intellectual property, privacy, or other rights of any person;
• reverse engineer, decompile, or otherwise attempt to derive the source code or underlying models of the Services, except where such restriction is prohibited by law;
• interfere with or disrupt the integrity or performance of the Services, or attempt to gain unauthorized access to them;
• use output of the Services to mislead others into believing it was solely human-generated where disclosure is required;
• scrape or harvest data from the Services without our prior written consent.

6. AI-Generated Output

The Services may generate output using artificial intelligence. AI output is probabilistic and may be inaccurate, incomplete, or offensive despite our efforts. You are responsible for evaluating output before relying on it. Output is not professional advice — including legal, medical, or financial advice — and should not be treated as such.

7. Intellectual Property

The Services, including all software, designs, text, and other content provided by the Company, are owned by the Company or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services. You retain ownership of content you submit to the Services; you grant the Company a worldwide, non-exclusive, royalty-free license to use that content as necessary to provide, maintain, and improve the Services.

8. Feedback

If you provide feedback, suggestions, or ideas about the Services, the Company may use them without restriction or obligation to you.

9. Third-Party Services

The Services may link to or interoperate with third-party services. The Company is not responsible for third-party services, and your use of them is governed by their own terms and policies.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. THE COMPANY’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNTS YOU PAID TO THE COMPANY FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

12. Indemnification

You will indemnify and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. Sections that by their nature should survive termination — including Sections 7, 8, 10, 11, 12, and 14 — will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in San Francisco County, California, and you consent to their jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by updating the effective date above and, where appropriate, through the Services. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
